* The funding is subject to  (a) Liquidity’s satisfaction with the results of due diligence to be conducted by Liquidity and its advisors; (b) the absence of any material adverse change in the business, assets, financial conditions, or prospects of the company; (c) meeting certain financial covenants in accordance with Liquidity’s underwriting/investment policy and procedures; (d) obtaining all required approvals such as the investment committee’s approval; and (e) execution of definitive documentation that will include, among other matters, customary conditions for a transaction of this type.
